1. Who we are

These Terms of Service (the "Terms") form a binding agreement between you ("Customer," "you," "your") and Pixedi Digital Agency Limited, a private limited company incorporated in England and Wales (company number 16968210) with its registered office at Flat 5-7 Leamington Road, Stockport, England, SK5 6BD ("Pixedi," "we," "us," "our").

Pixedi operates the Aristo AI receptionist service: an embeddable widget that handles chatbot conversations and voice calls, captures leads, redirects visitors to a Google Calendar booking page, sends notification emails to the Customer, and surfaces conversation and lead records in a dashboard (the "Service"). The Service is offered worldwide to business customers. Notices to Pixedi may be sent to support@pixedi.com.

2. Business use only

The Service is provided strictly for commercial and professional use by businesses, sole traders, and other organisations acting in the course of business. By creating an account you confirm that you are purchasing the Service for business or professional purposes and not as a consumer.

You further represent and warrant that the individual completing signup is at least 18 years old and is authorised to enter into these Terms on behalf of the business identified at signup and to bind that business to them. If you are signing up as an employee, contractor, or agent, you confirm you have obtained the authority to do so.

3. What Aristo is (and is not)

Aristo is an AI assistant. It is not a human agent, not a regulated professional, and not a substitute for professional advice. Aristo's responses are generated by large language models and may at times be inaccurate, incomplete, delayed, out of date, or inappropriate for the situation. The Service may be temporarily unavailable.

You are responsible for configuring your business information, the Aristo prompt and behaviour, your widget settings, and any integrations correctly. You are responsible for reviewing Aristo's behaviour before deploying the widget on a live website and on a continuing basis afterwards. You must not represent Aristo to your visitors as a human employee.

4. No guaranteed outcomes

We do not guarantee any specific business outcome from your use of the Service. We make no promise about the number of leads captured, sales made, bookings confirmed, calls answered, revenue generated, conversion rate, search ranking, response quality, or any other commercial metric. Results depend on factors outside our control, including the design of your website, the quality of your traffic, your Aristo configuration, your follow-up processes, and the behaviour of third-party services.

The Service is not designed for, and must not be relied on for, emergency situations or any decision that requires professional advice. Aristo must not be used to deliver medical, legal, financial, tax, accounting, insurance, employment, housing, credit, immigration, or other regulated professional advice, and must not be used as the basis for any high-risk or significant automated decision affecting an individual.

5. Acceptable use

Your use of the Service is also governed by the Acceptable Use Policy at /legal/acceptable-use, which is incorporated into these Terms by reference. You agree to comply with it and to ensure that your personnel and any third party acting on your behalf comply with it.

We may suspend or terminate access to the Service, in whole or in part, with reasonable notice where possible or immediately where appropriate, for abuse, security risk, suspected fraud, repeated payment failure, legal risk, breach of these Terms or the Acceptable Use Policy, or a violation of a third-party provider's usage rules that we are required to enforce.

6. Subscriptions, fees, and renewals

The Service is provided on a paid subscription basis. Plans, prices, and billing intervals are presented at signup and in the dashboard. All amounts are charged in U.S. Dollars unless we expressly state otherwise. Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with these Terms and the Subscription Terms at /legal/subscription-terms.

Annual plans are twelve-month commitments. The annual commitment runs for the full term once service access has begun and cancellation prevents the next annual renewal rather than ending the current term early. Monthly plans remain active until the end of the paid monthly period after cancellation, unless suspended for breach.

Refunds, partial refunds, and credits are controlled by the Refund Policy at /legal/refund. Stripe processes payments on our behalf; you authorise Pixedi (acting through Stripe) to charge your selected payment method for the applicable fees, including renewals, until you cancel.

7. Third-party services and availability

The Service depends on third-party providers including, without limitation, OpenAI (AI inference), Stripe (billing), Neon (database), Better Auth (authentication), Cloudflare (security and edge), Resend (email), Google Calendar (booking redirect), and our hosting infrastructure provider. Their outages, errors, rate-limits, policy changes, or termination of service may interrupt or affect the Service, and Pixedi is not responsible for issues caused by them.

We work to keep the Service available but do not commit to a specific uptime percentage in this version of the Terms. Scheduled maintenance, third-party outages, and good-faith error correction are normal parts of operating the Service.

8. Your data and content

As between Pixedi and you, you retain ownership of the information you submit to the Service and the conversation, lead, and contact information submitted through your widget by visitors ("Customer Data"). You grant Pixedi a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, and otherwise use the Customer Data solely to operate, secure, maintain, support, and improve the Service for you and, in aggregated and de-identified form, for the operation of our business.

Our processing of personal data is governed by the Privacy Policy at /legal/privacy and, where applicable, the Data Processing Addendum at /legal/dpa. Pixedi retains all rights in the Service software, the Aristo prompt framework, the dashboard, the widget, and any aggregated or de-identified analytics.

9. Indemnity

You agree to indemnify, defend, and hold harmless Pixedi and its officers, employees, and contractors against all claims, losses, damages, liabilities, fines, and reasonable costs (including legal fees) arising out of or related to: (a) your use or misuse of the Service, including any deployment of Aristo on a website you operate or control; (b) any content or instructions you submit to the Service; (c) your breach of these Terms, the Acceptable Use Policy, or applicable law; and (d) your failure to provide the notices or obtain the consents required from visitors interacting with your widget.

10. Warranties and disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. Except as expressly stated in these Terms, Pixedi disclaims all warranties and conditions, express, implied, or statutory, including any implied warranty of satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, or that AI-generated output will be correct or suitable for any specific purpose.

11. Limitation of liability

Nothing in these Terms limits or excludes Pixedi's liability for: (a) death or personal injury caused by Pixedi's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under the laws of England and Wales (including, where applicable, sections of the Unfair Contract Terms Act 1977 and the Misrepresentation Act 1967 that prevent such exclusion).

Subject to the paragraph above, and to the maximum extent permitted by law: (i) Pixedi will not be liable to you for any missed leads, lost revenue, lost profits, lost sales, lost bookings, loss of goodwill, business interruption, loss or corruption of data, AI errors or inaccuracies, third-party outages, or losses caused by your misconfiguration or your visitors' actions; (ii) Pixedi will not be liable for any indirect, incidental, special, consequential, or punitive damages, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise; and (iii) Pixedi's total aggregate liability under or in connection with these Terms, for any claim or series of related claims, will not exceed the total fees paid by you to Pixedi for the Service in the twelve months immediately preceding the event giving rise to the claim.

12. Term and termination

These Terms apply from the moment you create an account or use the Service and continue until terminated as set out here. You may cancel future renewal of your subscription at any time in accordance with the Subscription Terms; access continues to the end of the paid billing period unless we suspend or terminate access earlier for breach, security risk, or legal risk.

We may terminate or suspend your account where you materially breach these Terms or the Acceptable Use Policy, where required by law, where a third-party provider revokes our right to provide a component of the Service that you depend on, or where we discontinue the Service on reasonable notice. On termination, your access ends and your Customer Data is handled in accordance with the Privacy Policy and our published retention rules.

13. Changes to the Service or these Terms

We may modify the Service from time to time. We will give you reasonable notice through email or the dashboard for changes that materially reduce a feature you actively use. We may modify these Terms with at least thirty days' notice for non-trivial changes; if you do not accept the change your remedy is to cancel future renewal before the new Terms take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes and claims) are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, except that Pixedi may seek injunctive or equitable relief in any competent court to protect its intellectual property or confidential information.

15. General

These Terms, the Privacy Policy, the Acceptable Use Policy, the Subscription Terms, the Refund Policy, the Sub-processors page, and (where applicable) the Data Processing Addendum together constitute the entire agreement between you and Pixedi regarding the Service. If any provision is found to be unenforceable, the remaining provisions stay in full force and effect. Failure to enforce any right does not waive it. You may not assign these Terms without our prior written consent; we may assign them to a successor in connection with a corporate restructuring, merger, or sale of the business.
